Investing in Paraguay does not require an entrance exam or a mandatory local partner, but it does require a checklist that many skip out of haste. This checklist brings together what you should have sorted out before moving money, with nuances that only appear once you are already inside the process.
1. Define the structure: individual or company
A foreign investor can buy real estate or open accounts in a personal capacity, but to operate a business it is usually cleaner to set up a company. The usual forms are the Sociedad Anónima (SA) and the Sociedad de Responsabilidad Limitada (SRL). The SRL is the most used by foreign SMEs due to its flexibility, although the SA makes it easier for partners to join and for shares to be issued.
Practical check: the incorporation deed is registered with the Public Registry of Commerce and then the RUC is requested from the Undersecretariat of State for Taxation (SET). Without a RUC there is no legal invoicing or operational corporate bank account.
2. Personal documentation that is actually requested
- Valid passport with a Spanish translation if it is in another language (sworn translator).
- Paraguayan identity card if you are going to reside; it is obtained after temporary or permanent residency.
- Criminal record certificate from the country of origin, apostilled or legalized.
- Proof of address and, at some banks, commercial references.
Frequent mistake: bringing the passport without apostilling the criminal record. The Hague Apostille is valid in Paraguay for documents from signatory countries, but it does not replace consular legalization in those that are not.
3. Residency: not a requirement to invest, but it is to operate comfortably
Temporary residency is requested from the General Directorate of Migration and is usually processed with proof of financial solvency or an employment/investment link. Permanent residency comes after meeting the deadlines. For a passive real estate investment it is not essential, but without a Paraguayan identity card many banking and notarial procedures become slow.
Nuance worth knowing: residency does not automatically grant tax benefits; it only puts you on equal footing in procedures.
4. Bank account and source of funds
Paraguayan banks apply anti-money laundering regulations (SEPRELAD). They expect the origin of the money to be justified with contracts, deeds, payslips or tax returns from the country of origin. A large deposit without documentary support can be held under review for weeks.
Recommendation from experience: open the account with a modest amount and document every subsequent transfer. Changing banks later is more costly than preparing the file from the start.
5. Tax regime you should know before signing
Paraguay applies a general VAT of 10% and a Corporate Income Tax (IRE) with rates that depend on the regime and the turnover volume. There are simplified regimes for small taxpayers and a maquila regime with specific treatment for export production. According to the official SET documentation, rates and thresholds are updated; it is advisable to verify the validity for the fiscal year before projecting.
This does not work the same for everyone: a holding company that only owns real estate has a different treatment from a company that imports and resells. A local accountant with experience in foreign investment saves more than they cost.
6. Sector and specific permits
There is no general restriction on foreign investment in most sectors, but some require authorizations: agrochemicals, food, transport, health or mining. The purchase of land in the border zone has legal limitations that should be reviewed with a lawyer before paying a deposit.
7. Final checklist before disbursing funds
- Legal structure chosen and incorporation budget.
- Documents apostilled and translated.
- Residency applied for or planned.
- Source-of-funds file prepared.
- Tax advisor and local lawyer hired (do not delegate both to the same person without cross-checking).
- Registry verification of the property or of the selling company.
- Bank account opened with coherent documentation.
No step guarantees profitability: Paraguay’s macroeconomic stability is an attraction, but the liquidity of certain real estate assets outside Asunción can be low. The checklist reduces administrative risks, not market risks.
